All services will be delivered based on mutually agreed proposals, contracts, or statements of work (SOW).

2. Project Engagement & Execution

• Project scope, timelines, and deliverables will be defined before project initiation.
• Any change requests beyond agreed scope may result in revised timelines and additional cost.
• The Company follows an agile milestone-based delivery model.
• Client cooperation, timely approvals, and required inputs are essential for successful execution.

3. Payment Terms

• Advance payment is required before project commencement unless otherwise agreed.
• Milestone-based or monthly billing may apply depending on engagement model.
• Delays in payment may result in project hold, delayed delivery, or service suspension.
• Taxes, third-party service charges, advertising budgets, and platform fees are payable by the client.

4. Intellectual Property Rights

• Source code, designs, marketing creatives, and deliverables remain the property of the Company until full payment is received.
• Upon full settlement, ownership or usage rights will be transferred as per contract terms.
• The Company retains the right to showcase completed projects in its portfolio unless restricted by confidentiality agreement.

5. Digital Marketing & Advertising Disclaimer

• Marketing results such as leads, conversions, or rankings depend on multiple external factors including market competition, platform algorithms, and user behavior.
• The Company does not guarantee specific business outcomes or revenue growth.
• Advertising platform policy violations or account suspensions are beyond the Company's control.

6. Creative Media & Branding Services

• Creative work will be shared for client review and limited revisions as agreed.
• Additional revisions or concept changes beyond scope may incur extra charges.
• Final approved creatives are considered accepted and further changes may require new engagement.

7. Third-Party Services & Integrations

Projects may involve third-party tools, APIs, hosting providers, payment gateways, or advertising platforms.

• The Company is not responsible for downtime, policy changes, pricing changes, or service disruptions caused by such third parties.
• Clients are responsible for maintaining subscriptions, licenses, and platform compliance.

8. Confidentiality

Both parties agree to maintain confidentiality of sensitive business, technical, and financial information shared during project engagement.

9. Data Responsibility

Clients are responsible for:

• Accuracy of data provided
• Legal compliance of content, advertisements, or business operations
• Data backup unless specifically included in service agreement

The Company is not liable for data loss due to third-party failures, cyber incidents, or misuse.

10. Project Delays & Force Majeure

Delivery timelines may be impacted due to:

• Delayed client approvals
• Changes in project scope
• Third-party service disruptions
• Natural disasters, regulatory changes, or unforeseen events

The Company will communicate revised timelines in such cases.

11. Limitation of Liability

Infynext Global Tech Solutions LLP shall not be liable for:

• Indirect or consequential business losses
• Loss of revenue, profits, or reputation
• Platform account suspensions
• Market performance fluctuations
• Decisions taken by the client based on delivered solutions

Total liability shall not exceed the amount paid for the specific service.

12. Termination of Services

Either party may terminate services with prior written notice.

• Payments made for completed milestones are non-refundable.
• Work completed until termination date will be billed accordingly.
• Access to deliverables may be restricted until dues are cleared.

13. White-Label & Outsourcing Engagements

For white-label projects:

• The Company may operate as backend delivery partner.
• End-client communication responsibility may lie with the contracting agency unless agreed otherwise.

14. Governing Law

These Terms shall be governed by the laws of India.

Any disputes shall be subject to jurisdiction of courts in Visakhapatnam, Andhra Pradesh.

15. Updates to Terms

We reserve the right to modify these Terms at any time. Updated terms will be published on our website.
